Terms of service

These Terms of Service (the "Terms") form a binding agreement between you and Aretè Tecnologia di Antonio Sambataro("Aretè", "SpooqW", "we", "us"), a sole proprietorship with registered office in Belpasso (CT) 95032, Italy, VAT number IT05945010873. They govern your access to and use of the SpooqW data lakehouse platform, our website and related services (together, the "Service"). By creating an account or using the Service, you accept these Terms on behalf of yourself and, where applicable, the organisation you represent, and you confirm you are authorised to bind it.

1. The Service

SpooqW is a data lakehouse platform to build, run and govern data pipelines on an open Apache Iceberg lakehouse. It is offered in two forms: a hosted cloud service at spooqw.com, and a self-hosted / on-premise deployment you run on your own infrastructure. Each plan defines usage limits (such as projects, seats, pipelines, connections, concurrent runs, rows and runtime per run), enforced by the platform and described on the pricing page. We may improve, modify or discontinue features over time; we will give reasonable notice of material adverse changes to paying customers.

2. Accounts and eligibility

You must provide accurate information, keep your credentials secure, and be at least 16 years old and legally able to enter into a contract. Accounts require a verified email address. You are responsible for all activity under your account and for the users you invite into your workspace, and you must promptly notify us of any unauthorised use. One person or entity may not maintain multiple free accounts to circumvent plan limits.

3. Plans, billing, renewals and cancellation

  • The Free plan is provided at no charge and may be subject to fair-use adjustments and feature limits.
  • Paid plans — Starter (€39), Medium (€149), Maxi (€499) and On-premise — are billed in EUR through our payment processor, Stripe. Prices are exclusive of any applicable taxes unless stated otherwise.
  • Subscriptions renew automatically each billing cycle until cancelled. Upgrades and downgrades take effect as prorated by Stripe.
  • You may cancel at any time; the Service remains active until the end of the paid period, and cancellation stops future renewals.
  • Except where required by mandatory law (including EU/Italian consumer withdrawal rights, where they apply), fees already paid are non-refundable and there is no refund for partial billing periods.
  • We may change prices with at least 30 days' notice, effective from your next billing cycle.
  • If a payment fails, we may suspend or downgrade the account after reasonable notice.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy(the "AUP"), which is incorporated into these Terms. In summary, you may not use the Service to break the law, infringe third-party rights, endanger or probe the platform or other tenants, or abuse platform resources.

5. Your data and our platform (intellectual property)

You own your data.As between the parties, you retain all rights, title and interest in the data you ingest, transform, store or query through the Service ("Customer Data"). You grant us only the limited licence needed to host and process Customer Data to provide the Service, and to do so as your processor under the Data Processing Agreement. You warrant that you have the right to process Customer Data and that your use complies with applicable law. Because tables are stored in the open Apache Iceberg format, you can continue to query and export them with any Iceberg-compatible engine.

We own the platform. Aretè and its licensors retain all rights in the SpooqW software, user interface, documentation, trademarks and other materials. Except for the rights expressly granted here, no licence is given, and you may not copy, resell, reverse engineer (except as permitted by mandatory law), or create derivative works of the Service.

6. Open-source components

SpooqW builds on established open-source projects — including Apache Iceberg, Apache Spark, Trino and Project Nessie — which are licensed under the Apache License 2.0 and remain the property of their respective owners and contributors. Your use of those components is subject to their own licences. SpooqW's own platform code, engine, orchestration and interface are proprietary works developed independently by Aretè. Product and project names referenced here are trademarks of their respective owners; their use does not imply endorsement.

7. Self-hosted / on-premise addendum

If you take an on-premise deployment, we grant you a non-exclusive, non-transferable, revocable licence to install and run SpooqW on infrastructure you control, for your internal business purposes, for the term of your subscription and subject to any seat or capacity limits agreed. You are responsible for operating, securing, backing up and updating your own deployment and the underlying infrastructure. In this mode, Customer Data — and, where you point AI features at your own inference endpoint, your AI prompts — remain entirely on your infrastructure. You may not sublicense, redistribute or offer the software as a service to third parties without our written consent.

8. Warranties and disclaimers

We provide the Service with commercially reasonable skill and care. Except as expressly stated and to the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components. Any uptime or support commitments are only those expressly stated for your plan.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, goodwill or data, arising out of or relating to the Service. Our total aggregate liability arising out of or relating to the Service in any 12-month period is limited to the amounts you paid us for the Service in that period. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or wilful misconduct or gross negligence.

10. Indemnity

You will defend and indemnify Aretè against third-party claims, damages and reasonable costs arising from your Customer Data, your use of the Service in breach of these Terms or the AUP, or your infringement of applicable law or third-party rights.

11. Term, suspension and termination

These Terms apply for as long as you use the Service. You may delete your account at any time. We may suspend or limit access without prior notice where necessary to protect the platform, other tenants or third parties (for example, in response to serious abuse, a security threat, or non-payment), restoring access once the cause is resolved where practicable. Either party may terminate for material breach that remains uncured 15 days after written notice. On termination, your right to use the Service ends and Customer Data is handled as set out in the DPA. Provisions that by their nature should survive termination will survive.

12. Changes to the Service and to these Terms

We may update these Terms from time to time. For material changes we will give reasonable notice by email and/or an in-product notice before they take effect. Continued use of the Service after the effective date constitutes acceptance; if you do not agree, you should stop using the Service and may cancel.

13. Governing law and jurisdiction

These Terms are governed by the laws of Italy, without regard to conflict-of-law rules. The courts of Catania, Italy have exclusive jurisdiction over any dispute arising out of or relating to them, without prejudice to any mandatory consumer-protection rights that entitle a consumer to bring proceedings in another forum.
